Terms and conditions

Following are the terms and conditions that apply to using and accessing Signet. Signet is owned and operated by Advania Ísland ehf. („Advania“). Advania’s general terms and conditions also apply to the service. These terms and conditions are considered specific terms and conditions in addition to Advania’s general terms and conditions. Advania’s general terms and conditions can be found on Advania’s website, www.advania.is. Signet’s privacy policy also applies. Signet’s privacy policy can be found on Signet’s website, www.signet.is.

These terms and conditions are effective as of February 28th 2023.

SCOPE AND APPLICABILITY

These terms and conditions are specific user terms and conditions between Advania and the user. Based on the agreement, Advania grants limited permission to the user to use Signet in accordance with these terms and conditions.

These terms and conditions become effective when the user accepts these terms and conditions on the Signet webpage or when the user uses Signet for the first time, whichever occurs first. If the user accepts these terms and conditions on behalf of a legal person, the user confirms that the user has the authority to bind the legal person, and these terms shall apply both to the legal person and to the natural person who uses the access.

ABOUT SIGNET

Signet is a standard software solution that enables parties to sign documents digitally. Advania reserves the right to decide the system's functionality at anytime.

DEFINITIONS

Digital signature: The term refers to electronically signing of documents through the system following the legal requirements put forward in Article 26 of Act No. 910/2014 of the European Parliament and the Council (EU). A digital signature is a technology for proving the relationship between data and individuals or legal entities. A digital signature is performed with digital certificates based on a certified public key and a user’s private key. For a digital signature, the hash value of a document is encrypted with the user’s private key, which is linked to the certified public key of the user’s certificate. The digital signature, therefore, consists of an encrypted hash value of the relevant document together with the user’s certified public key.

Documents: Refers to any agreement, statement, data, documents or other types of content that the owner of the document submits for digital signature.

Document owner: The user who uploads a document and submits it to the signing process.

Long-term validation (LTV): Long-term validation provides a confirmation of the certificate state from the certificate issuer at the time of signing. Long-term validation also includes a time stamp from a trusted timestamping authority.

Subscribers: The term refers to a natural or legal person with an active subscription to Signet.

The system: The term refers to Signet.

Terms and conditions: Refers to these terms and conditions.

Unique identifier: A unique string identifying a natural or legal person. A personal identification number (is. kennitala) is an example of a unique identifier.

Usage: The term has the meaning defined in the Usage section of these terms and conditions.

User: The term user refers to any party who uses the system. Authorization to access is subject to a unique identifier. Users must be self-governing and legally competent to manage one’s finances.

ACCESS AND USER INFORMATION

Access to the system is free of charge, but a subscription to the service is required to submit documents to be signed. For more information, see the “Subscription Fee” clause.

Authentication with a digital certificate is required for logging in to the system, and digital certificates are also used for digital signatures. The user’s right to access and use the service is subject to the use of a unique identifier, and the user is not permitted to assign that right to another person or legal entity. Thereby, the user is not under any circumstances allowed to grant other parties the right to use their access to the system. Users can choose to provide information about the user’s email address and phone number on Signet’s web. The user can delete information about their email address and phone number anytime. When signed into Signet, subscribed users have access to personal identification numbers (is. kennitala) from Registers Iceland (is. Þjóðskrá) to look up signatories of documents.

The user understands and agrees that the user is responsible for ensuring the confidentiality of their digital certificates that enables the user to access the system. If a user becomes aware in any way that an unauthorized party has gained access to the information mentioned above, the user agrees to contact the issuer of the certificates and request that the relevant certificates will be revoked. To prevent them from being used by unauthorized parties on Signet’s website. Advania reserves the right to prevent parties from creating and/or using access to Signet.

Legal person can choose that Signet team users can authenticate with the access that the legal person has defined for their users in Microsoft Azure Active Directory (Azure AD). In those cases, the legal person is responsible for its own security settings in the Azure AD and for creating and removing access to Signet team for its users.

USAGE

The use of the system includes uploading and submitting documents, viewing documents, gathering information, digital signature, and any other use of the services available on the Signet website at any time. All system use is limited to actions that can be considered accepted and legal, together with the information and services offered at any given time.

USER OBLIGATIONS

The document owner is responsible for uploading documents for the signing process, submitting documents to the signing process, verifying that a document has been signed by all parties who are requested to sign a document, and ensuring that documents are signed within the time frame set for them.

The document owner is solely responsible for the content of the document. The user undertakes to use the system in such a way that it does not violate the provisions of these terms and conditions.

The user is responsible for ensuring that the user’s information, including email address, is always up to date.

DOCUMENT RETENTION PERIOD

Documents are stored for a maximum of 90 days from the time documents are submitted to the system unless the author deletes them within that time frame. After the 90 days time frame, the documents are deleted from the system. The user is responsible for retrieving the document during the document retention period and storing it.

VALIDATION OF SIGNATURES

Users can easily verify if a signature is valid. A digitally signed document is submitted for validation at the websites of parties that offer validation services, e.g. at signet.is, evrotrust.com or by viewing signatures in Acrobat reader.

The system validates the users’ digital certificates and retrieves the time of signing from a trusted time service when creating a signature. The validated time of signing is placed in the document. Validation of the digital certificate is placed in the signature.

SUBSCRIPTION FEE

Only those who submit documents to be signed need a subscription to the service (“Subscribers”). Signees are not required to purchase a subscription to sign documents.

Subscribers can choose to buy a subscription to the system with various quantities of signatures included.

The subscription fee and the subscription period are determined in accordance with the tariff published at www.signet.is or according to a separate agreement if the quantity of signatures exceeds the quantity stated in the tariff. Subscriber can cancel their subscription anytime. The cancellation will take effect by the end of the month when the cancellation is received and then a 30-day notice period starts unless otherwise agreed. If the subscription has not been canceled before the end of the subscription period, it will be automatically extended for another subscription period. If the usage exceeds the quantity included in the monthly subscription, the user can choose to continue to use the service and pay for the exceeded quantity at the end of the period.

The price for signatures is otherwise governed by Signet’s tariff list, which can be found at www.signet.is.

If single signatures are purchased, the validity period of the purchase is a maximum of 3 months.

The subscription fee is charged to the subscriber’s credit card. If the payment is not paid on time, the access will be closed 20 days later. If overdue payment has not been paid for 90 days or more, Advania reserves the right upon prior notice to terminate the subscription due to unpaid fees and reserves the right to remove all data related to the subscriber from the system. Advania shall notify the subscriber of the planned closure based on non-payment at least 10 days in advance.

ELECTRONIC NOTIFICATIONS

Electronic notifications from Signet will be sent to the user's registered email address.

By registering for an account to the system, the user agrees that Advania may, when required, send the user notifications to the email address registered in relation to the user’s access to the system.

A user who submits a document to be signed can enter an email address for signers that will be used to send notifications for the document.

A user who submits a document to be signed can choose and enter a phone number for signers to send an SMS notification about new signature request.

SERVICE TO USERS

Instructions for using Signet can be found at the webpage www.signet.is. Users can also send inquiries to the email address signet-help@advania.is.

DATA PROCESSING

All data in Signet is stored in encrypted form. The documents are encrypted in the system in such a way that only users can see their documents. Advania has no access to view user documents.

When processing personal data, Advania will comply with law no. 90/2018 on data protection and processing of personal data.

LIMITATIONS OF LIABILITY

Advania does not guarantee that specific results will be achieved using Signet other than what is stated in these terms and conditions. Users register and use the services offered in Signet at their own risk.

Advania does not guarantee the content of documents submitted to the system by users. Advania does not guarantee that parties complete the signing of documents correctly and that documents are signed within the set time frame. Furthermore, Advania does not guarantee that the signing of documents will be successful in all cases. It may happen that the signing of documents will not be successful due to external events, events related to defects, failures or other types of interruptions in the software, or events that concern the person who must sign and it is the sole responsibility of the document owner to ensure that all relevant parties have signed the document in a satisfactory manner.

Access to Signet may be interrupted from time to time for various reasons, e.g. due to hardware failures, technical failures, software errors, system updates, or due to actions that Advania may choose to take. Advania is not responsible for inconvenience or damage that may be caused directly due to a defect or failure of terminal equipment, connection to the world wide web, the software necessary to connect to the website, browser or user’s operating system or computer system, or from other causes that may cause that the operation in Signet cannot take place or take place in a different way than was expected, e.g. due to technical failures, errors in data or interruptions in the operation of computer systems. Advania is not responsible for inconvenience or damage caused directly or indirectly due to a failure in the subscriber’s or user’s computer equipment and/or software or for other reasons that may cause the information on Signet to be incorrect or the user to be unable to connect to the service.

LIMITATION AND EXCLUSION OF INDEMNIFICATION

Advania is not responsible for damage resulting from ignorance, misunderstanding or misuse by the user, or another person with or without the user’s authority. Advania is not responsible for damage due to the user's or another party's wrongful actions. Advania is not responsible for damage caused by external events e.g. failures, incorrect external information etc.

Advania is only responsible for direct damage to the customer due to culpability or illegal behavior by Advania or a person for whom Advania is responsible. In no case is Advania responsible for the operational losses of the customer and/or third parties, nor for the indirect, incidental, or consequential damage of such parties, including lost profits or planned savings, whether the loss is linked to defects, damages or destruction of the purchased item or other reasons.

Apart from what is stated in these terms and conditions, Advania’s liability for any type of mistake, error, negligence, interruption, delay, damage or defect in the service, software or hardware that occurs in relation to the contract between the parties shall be limited to the equivalent of the fee that the customer has verifiably paid to Advania for the services to which the damage relates in the last three months prior to the event that caused that damage.

The foregoing limitations of liability do not apply to the extent that the law prohibits the limitation of liability.

FORCE MAJEURE

Neither Advania nor its customers are entitled to damages against the other party when non-compliance is caused by uncontrollable or unforeseen events that were not present at the time of the contract, such as labor disputes, wars, rebellions, natural disasters, government actions in the field of currency and trade, trade embargoes, port embargoes, general transport obstacles, lack of energy and similar uncontrollable incidents in dealings with subcontractors.

INTELLECTUAL RIGHTS

All content of Signet, including interface design (e.g. text, graphics, images, trademarks), photographs, software, edited content, announcements and other content, is protected under copyright and trademark laws in Iceland and elsewhere. Any distribution, republication or electronic copying of Signet’s copyrighted and trademarked material, whether in whole or in part, is strictly prohibited.

BACKUP, MONITORING AND SECURITY

It is absolutely forbidden to use Signet‘s services to participate in, encourage, advertise, or mediate any illegal and, as the case may be, criminal activities, activities with a harmful purpose, or activities that have the purpose of violating general decency.

It is absolutely forbidden to place any kind of file or data on Signet’s website that could be classified as some kind of computer virus, computer worm, or Trojan horse or contain any kind of harmful features or could in any way interfere with the normal functionality of the service.

It is absolutely forbidden to try to download, publish or reverse engineer in any way the underlying source code based on the software used in Signet. If a user gains access to the source code for other reasons, e.g. due to failure, the user shall notify Advania at signet-help@advania.is.

It is absolutely forbidden to use any kind of automated software, program, or other automated methods to access, copy or monitor any part of the Signet website except with the written permission of Advania and/or if such services were purchased from Advania.

It is absolutely forbidden to use any kind of application, software or other types or methods to visit, use or search data on the Signet website except with general browsers (e.g. Firefox, Chrome, Opera or Internet Explorer) and general search engines (e.g. Google or Bing).

It is absolutely forbidden to interfere with the use of other users who use the service, delete or change content that others have submitted, do something that causes an abnormally high load on the service and the computer system that it runs on or anything else that interferes with the normal access of other users to the service.

It is absolutely forbidden to interrupt, impair, or in any way use the service in such a way that such use has a detrimental effect on Advania, Advania’s business interests, Advania’s hosting environment, equipment and systems or disrupts the system operation of Advania and Advania’s customers.

Advania reserves the right to determine whether certain communications are considered to be in violation of the above rules.

BREACH

If users are found to have violated these terms and conditions, abused the system, or behaved in such a way that it is obvious that the person cannot or does not intend to comply with the provisions of these terms and conditions, Advania may at any time, and without notice, close the person’s account and optionally terminate it. In such a case, a notification will be sent to the user’s registered email address. Cancellation based on the above does not exempt subscribers from payment of outstanding fees.

Advania reserves the right to report suspicion of violation of the law to the relevant authorities.

ASSIGNMENT

Advania may assign its rights and obligations established in the contract. This does not apply to the user. The user is not permitted under any circumstances to assign to other parties the use of their access.

CHANGES TO TERMS AND CONDITIONS

Advania reserves the right to change these terms and conditions and users will be notified about changes at the next login after the changes take effect. If the user chooses not to accept the changed terms and conditions, the user will no longer be able to log in to Signet.

LAW AND DEFENCE CONGRESS

These terms and conditions are governed by Icelandic law. If any provision of these terms and conditions is held to be invalid, illegal or unenforceable, this will not in any way reduce the validity, legality or enforceability of the other provisions of the terms and conditions.

Advania and the customer shall seek to resolve disputes regarding these terms by agreement. If an agreement is not reached, disputes must be raised in the Reykjavík District Court.

GENERAL TERMS AND CONDITIONS OF ADVANIA

Matters other than those covered by these terms and conditions are governed by Advania’s general terms and conditions, which can be found at www.advania.is/skilmalar.


These terms and conditions are drawn up in Icelandic and English language versions. In case of any dispute Icelandic language version shall prevail.
